TERMS & CONDITIONS – RESOLVEIT LIMITED


1. Introduction

These Terms and Conditions (“Terms”) govern your access to and use of services, platforms, and content provided by ResolveIT Limited (“ResolveIT”, “we”, “our”, or “us”).

By accessing our website, using our services, or engaging with our platforms, you agree to be bound by these Terms.


2. Scope of Services

ResolveIT provides services including, but not limited to:

  • Managed IT services

  • Cloud solutions and hosting

  • Cybersecurity services

  • Backup and disaster recovery

  • IT consulting and support

  • AI-powered and automated solutions (including ResolveIT AI)

Specific services may be governed by separate agreements, proposals, or service contracts.


3. Use of Website and Content

You agree to use our website and resources only for lawful purposes.

You must not:

  • Use the website in a way that may damage or disrupt services

  • Attempt unauthorized access to systems or data

  • Use content for unlawful, fraudulent, or harmful activities

All content provided is for informational purposes only.


4. No Professional Guarantee

While ResolveIT provides expert guidance and best-practice recommendations, all information, checklists, advisory content, and recommendations:

  • Are provided for general guidance

  • Do not guarantee specific outcomes

  • Must be implemented based on your organization’s requirements and risk tolerance


5. Service Delivery & Limitations

ResolveIT will use reasonable skill, care, and diligence in delivering services.

However:

  • We do not guarantee uninterrupted or error-free service

  • Service availability may depend on third-party providers

  • Clients are responsible for implementing recommendations unless otherwise agreed in writing


6. Third-Party Services

Our services may rely on third-party platforms and providers, including but not limited to:

  • Microsoft

  • Amazon Web Services (AWS)

  • Google

  • CRM and communication platforms

ResolveIT is not responsible for:

  • Failures, outages, or disruptions caused by third-party providers

  • Changes, limitations, or discontinuation of third-party services


7. Data Protection

We process personal data in accordance with our Privacy Policy and the Jamaica Data Protection Act (JDPA).

Clients are responsible for:

  • Ensuring lawful data use within their organization

  • Obtaining necessary consents where applicable


8. Limitation of Liability

To the fullest extent permitted by law:

ResolveIT shall not be liable for:

  • Any indirect, incidental, special, or consequential damages

  • Loss of data, loss of revenue, loss of profits, or business interruption

  • Cybersecurity incidents, data breaches, or system compromises beyond our reasonable control

  • Failures or disruptions caused by third-party service providers

ResolveIT’s total aggregate liability for any claim arising out of or related to the provision of services shall be strictly limited to the total fees paid by the client for the specific service giving rise to the claim within the preceding three (3) months.

Nothing in these Terms excludes liability for matters which cannot be excluded under applicable law.


9. Backup & Disaster Recovery Disclaimer

While ResolveIT provides backup and disaster recovery solutions:

  • No backup system can guarantee zero risk of data loss

  • Clients are responsible for validating recovery requirements and objectives (RTO/RPO)

  • Regular testing and verification of backups is essential

ResolveIT shall not be liable for data loss or recovery failure where:

  • Backup systems are not properly tested

  • Client requirements are not clearly defined

  • External or uncontrollable factors impact recovery


10. Cybersecurity Disclaimer

While ResolveIT implements industry best practices, tools, and controls to enhance security, no system or environment can be guaranteed to be completely secure.

Cybersecurity risks continue to evolve, and threats may arise from factors beyond ResolveIT’s control, including but not limited to:

  • User actions (e.g., phishing, credential compromise)

  • Zero-day vulnerabilities

  • Third-party system breaches

  • External cyberattacks

Security is a shared responsibility between ResolveIT and the client.

Accordingly:

  • ResolveIT does not guarantee the prevention of all security incidents or breaches

  • Clients are responsible for adhering to recommended security practices and policies

  • Clients must ensure users follow appropriate security awareness, access controls, and security procedures

ResolveIT shall not be liable for losses, damages, or incidents resulting from cybersecurity events beyond its reasonable control.


11. AI and Automated Services

ResolveIT may provide AI-powered or automated services, including chatbots, voice agents, and decision-support systems.

These services:

  • Are designed to assist and enhance operations

  • May not always produce accurate, complete, or up-to-date outputs

  • Should not be relied upon as the sole basis for critical decisions

Clients are responsible for reviewing and validating outputs where necessary.


12. Intellectual Property

All content, materials, systems, and intellectual property provided by ResolveIT remain the property of ResolveIT unless otherwise agreed in writing.

You may not:

  • Copy, reproduce, or distribute materials without permission

  • Use ResolveIT content for commercial purposes without authorization


13. Payment Terms

Where applicable:

  • Fees will be outlined in proposals or agreements

  • Payments must be made in accordance with agreed terms

  • Late payments may result in suspension or termination of services


14. Termination

ResolveIT reserves the right to suspend or terminate services:

  • For breach of these Terms

  • For non-payment

  • Where required by law

Clients may terminate services in accordance with agreed contractual terms.


15. Force Majeure

ResolveIT shall not be liable for failure or delay in performance due to events beyond its reasonable control, including:

  • Natural disasters

  • Cyber incidents

  • Power outages

  • Network failures

  • Acts of government


16. Changes to Terms

ResolveIT may update these Terms from time to time.

Continued use of our services constitutes acceptance of any updated Terms.


17. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of Jamaica.
